1.15 Post-signing License Management: TTP’s Ombudsman Role

Once the License Agreement is signed, and after a typically short and small celebration, the TTP has moved on to the next invention/IP case. There is no time to linger on that success. Typically, a signed License Agreement is handed over to someone to monitor the Licensee’s compliance with its terms. This monitor is usually a contract manager, not the TTP. The contract manager should maintain regular contact with the Licensee. The contract manager often uses a database to manage and organize numerous License Agreements, each with its terms and conditions that are properly monitored for compliance. This vital role of contract monitoring frees the TTP to work on other cases. However, problems frequently arise with the technology, the license and its implementation, or with the Licensee itself. Such problems are often too complex and difficult for the contract managers to resolve. In such cases, TTP must resolve the problem. The same skills the TTP used to analyze the invention and to negotiate the license will be employed to resolve difficult license and Licensee issues.
